Legal Requirements for Company Incorporation in Malaysia

To legally incorporate a company in Malaysia, the following must be met under the Companies Act 2016:

Full Foreign Ownership

Foreign investors are allowed to own 100% of a company in Malaysia. While a nominee director is not a legal requirement like in Singapore, it can be advantageous in some cases. Malaysia also allows businesses to be opened under a tourist visa, provided all legal procedures are followed.

Requirements to Register a Company in Malaysia (Companies Act 2016)

1.Director Information: A passport or IC copy of the company directors.
2.Subscriber: At least one subscriber to the company’s shares.
3.Director Residency: At least one director must reside in Malaysia, be over 18 years old, and not be bankrupt or convicted of a criminal offense in the last 5 years.
4.Company Secretary: A licensed company secretary must be appointed.

Who Can Be a Director or Shareholder?

1)Shareholders must be at least 18 years old and mentally fit.
2)Dependent pass holders can be shareholders but not directors.
3)MM2H holders can also be shareholders but not directors.
4)Local citizens who meet legal and financial requirements can serve as both directors and shareholders.
5)Foreigners on tourist visas can register a company but may need to appoint a nominee director or obtain a business visa for easier management.

Registration and Banking

For legal purposes, any foreign investor wishing to do business in Malaysia must be physically present to register the company, ensuring compliance with anti-money laundering (AML) laws.
